Ownership insights with DataEco
With recent news of tighter legislation being passed through the house of parliament the question that a lot of people ask in relation to UK companies – is who actually owns them?
With a lot of ownership of the very large companies coming from overseas investors it isn’t so clear. The last years invasion of Ukraine led the UK to freeze Russian assets to distill the movement and that showed very obvious that it was no means easy to identify the ownership.
Since then a new act has been rushed through to allow a tighter control of future companies registered for operation in the UK.
So how does this information get recorded and where can business find it and use it to help gain insight into the UK business sectors.
The initial Persons with Significant Control (PSC) register has now been extended and mandatory verification steps are now needed for the individuals identified as part of the process. The PSC register can be downloaded from the companies house website and if you have the tools and time to dissect the JSON formatted data file you can see who owns what percentage of the companies.
As the PSC register is so huge the summary percent is only shown in 4 band ranges of:
- 0-25
- 25-50
- 50-75
- 75-100
Whilst this is good to check a high level associated of ownership it does not give the detail needed for understanding the complete control of companies as this can be more complex with several different classes of shares that vary what the shareholder controls.
This information is processed in the Confirmation Statement (CS01) document which allows companies to outline who the shareholders are and what number of shares out of the total they have at the confirmation statement date. As the companies ownership can change a regular annual statement is mandatory for all companies and also any key updates are also need submitting to companies house.
Companies house then holds and makes the access of this information for the public holding each update as a PDF document file. This can then be downloaded for each company with shareholder updates and placed together with the PSC register data to make up a clear Ownership insight model for UK companies.
The DataEco Investment model can be queried by private or company investors to see what an Investors portfolio looks like for any industry. This allows compelling insight into the ownership of companies and capital investment programmes. It show’s clarity and key individuals who need to be liaised with if investments are to be accepted and have the impact and return for the investors involved.
The model can also see the breadth and depth of some investors as they have acquired a small percentage in many companies and allow for them to make a return on their investment from many various channels. We can also see different investor styles where private or companies take earlier stage investment positions and have an early exit strategy before the company growths takes hold.
Therefore the model can be filtered easily by type of investment , share class and age to allow for this foresight of the investment landscape at your finger tips.
Private Investors
The large majority of companies are owned solely by the founding members and family to allow the legal responsibility and any capital invested to be proportioned. The top 20% of UK companies have varying degrees of ownership depending on how capital has been injected into the company.
Sometimes there is more insight into which private Investors than the companies themselves. The model show’s the average investment age and of course the net worth of the individual when all the companies assets are tallied up.
Company Investors
They exists a lot of capital management companies that exist to invest financial capital into businesses in return for a share of the equity value of the business.
These investments are done mainly on a loan perspective for smaller companies and on a equity ownership and control for the larger investments.
Startup companies that get capital in this manner normally look for a loan for the first 0-250K of investment.
